- Indemnification –
- You agree to defend, indemnify and hold harmless Journey, its officers, directors, managers, shareholders, employees and agents, from and against any and all claims, liabilities, damages, losses, costs and expenses (including, without limitation, reasonable attorneys’ fees and costs) arising out of or in connection with any of the following (including as a result of your direct activities on the Site and/or Services or those conducted on your behalf:
- your breach or alleged breach of these Terms of Use;
- your use of or access to the Services;
- your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental or quasi-governmental authorities, including, without limitation all regulatory, administrative and legislative authorities;
- your violation of the rights of any third party, including without limitation any intellectual property rights, publicity, confidentiality, property or privacy rights; or
- any misrepresentation made by you.
- Journey reserves the right to assume, at your expense, the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Journey’ defense of any claim. You will not in any event settle any claim without the prior written consent of Journey.
- You agree to defend, indemnify and hold harmless Journey, its officers, directors, managers, shareholders, employees and agents, from and against any and all claims, liabilities, damages, losses, costs and expenses (including, without limitation, reasonable attorneys’ fees and costs) arising out of or in connection with any of the following (including as a result of your direct activities on the Site and/or Services or those conducted on your behalf:

- Entire Agreement – these Terms of Use constitute the final, complete and exclusive statement of the agreement between you and Journey regarding the subject matter hereof, and supersede any prior agreements, negotiations or communications between you and Journey with respect to such subject matter. Neither the course of conduct between the parties nor trade practice will act to modify the Terms of Use. These Terms of Use do not confer any third-party beneficiary rights
- Jurisdiction, Venue, & Waiver of Jury Trial –
- These Terms of Use and all claims or issues regarding the Service shall be governed according to the laws of the Province of Manitoba, in Canada, AND WILL SPECIFICALLY NOT BE GOVERNED BY THE UNITED NATIONS CONVENTIONS ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS, IF OTHERWISE APPLICABLE.
- Any dispute, claim or controversy arising out of or relating to these Terms of Use or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the State of Delaware. The arbitration shall be administered by the American Arbitration Association (AAA) under its rules, including the AAA’s supplemental procedures for consumer-related disputes. As an alternative, you may bring your claim in your local "small claims" court, if permitted by that small claims court's rules.
- YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ALL DISPUTES IN COURT BEFORE A JUDGE OR JURY. Instead, all disputes will be resolved before a neutral arbitrator, whose decision will be final except for a limited right of appeal under the rules of the AAA. Any court with jurisdiction over the parties may enforce the arbitrator's award. You agree that the making of claims or resolution of disputes pursuant to this agreement shall be in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. - To the extent permitted by law, any dispute to which this section applies must be filed within one year in small claims court or in arbitration with the AAA. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

CANADA- Survival – all provisions of these Terms of Use which, by their nature, should survive the expiration or termination of your relationship with Journey shall survive such expiration or termination.
- No Waiver – The failure of Journey to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
